Terms of Service

1. Acceptance of Terms

By accessing or using Kayistra's platform and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the service. Continued use of the service following any updates to these Terms constitutes acceptance of the revised Terms.

These Terms constitute a legally binding agreement between you ("Seller" or "User") and Mahmut Fuat Sahin, operating as Kayistra, Istanbul, Turkey.

2. Service Description

Kayistra is an Amazon seller management platform that provides tools to help Amazon sellers manage orders, inventory, pricing, and shipping operations via the Amazon Selling Partner API (SP-API). Kayistra connects to your Amazon Seller account through Amazon's official OAuth authorization flow and uses SP-API to retrieve and process your seller data on your behalf.

During the current beta phase, access to the platform is by invitation only. Features, availability, and pricing are subject to change.

3. User Obligations

By using Kayistra, you represent and warrant that you:

  • Hold a valid and active Amazon Seller account in good standing.
  • Comply with Amazon's Acceptable Use Policy, Amazon Services Business Solutions Agreement, and all applicable Amazon policies.
  • Grant SP-API authorization to Kayistra only on accounts you are legally authorized to manage.
  • Provide accurate, current, and complete information when registering and using the service.
  • Maintain the security and confidentiality of your account credentials and promptly notify Kayistra of any unauthorized access.
  • Comply with all applicable laws, including Turkish law, KVKK, GDPR where applicable, and the laws of the jurisdictions in which you operate.

4. Acceptable Use Restrictions

You agree not to use Kayistra to:

  • Access or attempt to access any other seller's account, data, or Amazon credentials without their explicit written authorization.
  • Conduct competitive intelligence, scraping, or data harvesting activities targeting other sellers or third parties through Kayistra's infrastructure.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the Kayistra platform.
  • Use the service for any illegal purpose or in violation of any applicable law or regulation.
  • Send excessive API calls or otherwise place unreasonable load on Kayistra's systems or Amazon's SP-API infrastructure.
  • Use, store, or transmit Amazon buyer Personally Identifiable Information (PII) for any purpose other than order fulfillment as permitted by Amazon's Data Protection Policy.
  • Resell, sublicense, or otherwise transfer access to Kayistra's platform to third parties without prior written consent.

5. Intellectual Property

The Kayistra platform, including its software, design, and documentation, is the exclusive intellectual property of Mahmut Fuat Sahin / Kayistra. Nothing in these Terms grants you any ownership right in the platform.

Your seller data — including your product listings, order information, and business data — remains your property. Kayistra accesses your data solely to provide the service and does not claim any ownership over it. Upon termination, your data will be deleted in accordance with Section 8 of these Terms and our Privacy Policy.

6. Service Availability & Limitations

The Kayistra platform is provided on an "as is" and "as available" basis. During the beta phase, no uptime guarantee or service level agreement (SLA) is offered.

  • Kayistra does not warrant that the service will be uninterrupted, error-free, or free of security vulnerabilities.
  • Service availability may be affected by Amazon SP-API outages, maintenance windows, or changes to Amazon's policies, over which Kayistra has no control.
  • Kayistra reserves the right to modify, suspend, or discontinue any feature or the entire service with reasonable notice, except in cases of force majeure or Amazon policy changes requiring immediate action.
  • Force majeure events — including Amazon SP-API disruptions, infrastructure outages, natural disasters, or regulatory actions — excuse Kayistra from performance obligations for the duration of the event.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Kayistra shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, loss of data, or business interruption, arising from your use of or inability to use the service.

In no event shall Kayistra's total cumulative liability to you exceed the greater of (a) the total fees paid by you to Kayistra in the twelve (12) months immediately preceding the claim, or (b) one hundred Turkish Lira (TRY 100). During the beta phase, where no fees are charged, the maximum liability is TRY 100.

Nothing in these Terms limits liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

8. Termination

Either party may terminate these Terms with 30 days' written notice. Kayistra may terminate immediately and without notice in the event of a material breach of these Terms, including violations of Section 4 (Acceptable Use Restrictions) or Amazon's policies.

Upon termination, Kayistra will:

  • Permanently delete all your data (including PII, orders, cached data) within 30 days of the termination date.
  • Revoke your Amazon SP-API refresh token from Kayistra's systems.
  • Provide you with confirmation of data deletion upon request.

You may also revoke Kayistra's SP-API access at any time directly from your Amazon Seller Central account under Settings → Authorized Applications, independent of these Terms.

9. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of Turkey, including the Turkish Commercial Code (TTK) and the Personal Data Protection Law (KVKK, Law No. 6698). Any dispute arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Istanbul, Turkey.

Before initiating legal proceedings, the parties agree to attempt resolution through good-faith negotiation for a period of 30 days following written notice of the dispute.
